Agreement

These Terms & Conditions ("Terms") are a contract between you and Frabo OS ("Frabo OS", "we", "us"). By creating an account or using the service, you agree to these Terms and our Privacy Policy.

If you use Frabo OS on behalf of a company, you confirm you have authority to bind that organization.

The service

Frabo OS provides an AI-assisted business operating layer ("Adam") and related modules: receipt intelligence, marketplace commerce, CRM/leads, email marketing on eligible plans, SEO tools, and finance workflows. Frabo OS does not offer payroll.

Features may change, be added, or be discontinued. We aim to give reasonable notice for material changes that affect paid plans where practicable.

Accounts and security

You must provide accurate information and keep your login credentials secure. Frabo OS uses email one-time codes for most sign-ins.

You are responsible for activity under your account unless you notify us promptly of unauthorized access.

We may suspend or terminate accounts that violate these Terms, applicable law, or create risk for other users.

Acceptable use

You agree not to misuse Frabo OS. Prohibited conduct includes:

• Uploading unlawful content or data you are not authorized to process.
• Attempting to bypass security, rate limits, billing controls, or access controls.
• Reverse engineering, scraping, or interfering with platform operation except as permitted by law or written agreement.
• Harassment, fraud, malware distribution, or use of the service to harm others.
• Misrepresenting identity or affiliation in marketplace, CRM, or email marketing contexts.

Your content

You retain ownership of content you upload. You grant Frabo OS a limited license to host, process, and display that content solely to provide and improve the service.

You represent that you have the rights needed for the content you submit and that it does not infringe third-party rights.

Subscriptions and billing

Paid plans, trials, and add-ons are described at checkout. Prices, limits, and features may vary by tier.

Subscriptions renew automatically until cancelled through the billing portal or as described at purchase. Taxes may apply based on your location.

Refunds are handled according to applicable law and the policy stated at purchase. Chargebacks without contacting support may result in account restriction.

Marketplace

Marketplace features connect buyers and sellers. Frabo OS is a platform, not the seller of third-party goods unless explicitly stated.

Sellers are responsible for accurate listings, lawful products and services, fulfillment, and applicable taxes. Buyers must pay agreed prices and follow community rules.

Disputes between users should be resolved in good faith. Frabo OS may provide tools but does not guarantee outcomes. See Community Guidelines and Marketplace Fees for additional rules.

Sales tax

Sellers are solely responsible for registering, collecting, and filing their own sales taxes. Frabo OS provides transaction reports to assist your CPA.

For convenience, Frabo OS uses Stripe Tax to calculate sales tax in real time at checkout based on the buyer’s location, and the calculated amount is collected through the seller’s payment. Frabo OS does not register, remit, or file any tax on a seller’s behalf, and does not provide tax advice. Determining tax registration, nexus, exemptions, rates, and filing obligations remains the seller’s responsibility.

Sellers should consult their own tax professional. Frabo OS is not liable for a seller’s tax registration, collection accuracy, remittance, or filing.

CRM, leads, and email marketing

CRM and leads features let you store contact information and follow-up notes for your business. You are responsible for having a lawful basis to collect and process contact data (for example, consent or legitimate interest where applicable law requires it).

Email marketing features (on eligible plans) let you compose and send campaigns to audiences you manage in Frabo OS. You must honor unsubscribe requests, comply with anti-spam and marketing laws (including CAN-SPAM, GDPR, and similar rules where they apply), and obtain required consent before sending marketing email.

Frabo OS may require confirmation before high-risk or large-volume sends. You are the sender of record for campaigns you approve; we provide delivery infrastructure, not legal compliance advice.

No payroll service

Frabo OS does not operate payroll, run wage payments, or file employment taxes on your behalf. Use a dedicated payroll provider for those needs.

Accounting and reporting features focus on receipts, books, and business summaries — not worker payroll processing.

AI and automated features

AI outputs may be incomplete or incorrect. You must review AI-generated insights, CRM follow-up drafts, email campaign copy, SEO recommendations, receipt categorizations, and similar outputs before relying on them for financial, legal, tax, or operational decisions.

We may use automated systems to detect abuse and improve product quality in line with our Privacy Policy.

Third-party services

Frabo OS integrates with third parties (for example, Stripe, Cloudflare, and analytics on marketing pages). Their terms and privacy policies apply to those services.

You may also optionally connect social accounts you own (such as LinkedIn, X, YouTube, Facebook, Instagram, or TikTok) so Adam can help you draft and, with your approval, publish content or reply to comments on your own posts. You authorize each connection through the platform's OAuth flow, you remain responsible for the content you approve, and you must comply with each platform's terms. Adam never publishes or replies without your explicit approval, and you can disconnect any account at any time from Settings.

Links to external sites are provided for convenience; we are not responsible for third-party content or practices.

Suspension and termination

You may stop using Frabo OS and delete your account at any time from Settings, subject to retention described in the Privacy Policy.

We may suspend or terminate access for violations, non-payment, legal requirements, or extended inactivity, with notice where reasonable.

Disclaimers

Frabo OS is provided "as is" and "as available" to the fullest extent permitted by applicable law. We do not warrant uninterrupted or error-free operation.

Statutory rights that cannot be excluded in your jurisdiction remain unaffected.

Limitation of liability

To the fullest extent permitted by applicable law, Frabo OS and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.

Our total liability for claims relating to the service in any twelve-month period is limited to the greater of (a) amounts you paid Frabo OS in that period or (b) one hundred US dollars (USD $100), except where law requires otherwise.

Indemnity

You agree to indemnify and hold Frabo OS harmless from claims arising out of your content, your use of the service, or your violation of these Terms or applicable law, to the extent permitted by law.

Governing law and disputes

These Terms are governed by the laws applicable to Frabo OS's place of establishment, without regard to conflict-of-law rules, except where mandatory consumer protections in your country require otherwise.

Disputes should first be raised with [email protected]. Where arbitration or courts are required by local law, those requirements apply. Region-specific dispute terms may be added later.

Changes

We may update these Terms. The "Last updated" date will change when we do. Continued use after changes take effect constitutes acceptance, except where applicable law requires additional consent.
